Terms of Service

These Terms of Service (“Terms”) govern access to and use of Chanslatre’s websites, restaurant and administrative accounts, multilingual digital menus, QR-based menu access, menu-management services, analytics, physical QR materials, “My Order,” “Show Server,” and other related products and services (collectively, the “Service”).

By creating an account, signing an agreement, purchasing or activating a plan, submitting restaurant content, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a restaurant, company, or other organization, you represent that you have authority to bind that organization to these Terms.

Important: Chanslatre provides menu, communication, analytics, and related technology services. Unless Chanslatre expressly states otherwise for a particular feature, Chanslatre is not the restaurant, food seller, payment processor for a diner’s restaurant purchase, or party responsible for preparing or serving food.

1. Accounts and Authority

You must provide accurate and reasonably current information when creating or maintaining an account. You are responsible for protecting account credentials and for activity occurring through your account or through users you authorize.

Restaurant clients must ensure that individuals who submit menus, request changes, approve content, manage billing, or otherwise act through the account are authorized to do so. You must promptly notify Chanslatre if you believe an account or credential has been compromised.

2. Restaurant Content and Responsibilities

Restaurants remain responsible for the restaurant information and content they provide or approve, including menu-item names, descriptions, prices, availability, ingredients, preparation information, dietary designations, allergen information, photographs, logos, trademarks, and other materials (“Restaurant Content”).

By providing Restaurant Content to Chanslatre, the restaurant grants Chanslatre a non-exclusive, worldwide, royalty-free license to host, copy, format, translate, adapt, display, and otherwise use that content as reasonably necessary to provide, support, demonstrate, and maintain the restaurant’s Service.

The restaurant represents that it owns or has sufficient rights and permissions to provide Restaurant Content to Chanslatre and to authorize its use in connection with the Service. This includes photographs, logos, and other copyrighted or trademarked materials.

Restaurants must review their published menus and promptly notify Chanslatre of material errors or requested corrections.

3. Menu Accuracy, Translations, Allergens, and Dietary Information

Chanslatre may assist with translation, formatting, organization, and presentation of restaurant menus. These tools are intended to improve communication and accessibility, but translations or displayed menu information may contain errors, omissions, or differences in interpretation.

The restaurant remains responsible for confirming the accuracy of its menu, including prices, ingredients, allergens, dietary classifications, availability, and food-preparation information. Chanslatre does not independently inspect restaurant kitchens, recipes, ingredients, food preparation, or cross-contact practices.

Diners with allergies, medical dietary restrictions, religious dietary requirements, or other important food concerns should confirm relevant information directly with restaurant staff before ordering or consuming food. Dietary or allergen labels displayed through the Service are informational aids and are not guarantees against allergens, cross-contact, ingredient changes, or preparation differences.

4. My Order and Show Server

“My Order” allows diners to organize menu selections for convenience. “Show Server” provides a staff-facing summary intended to help a diner communicate selections to restaurant personnel.

Unless Chanslatre expressly indicates otherwise for a specific enabled feature, adding an item to My Order or displaying Show Server:

Diners and restaurant staff are responsible for confirming the final order, including quantities, options, preparation requests, allergens, and other important instructions.

5. QR Codes and Physical Materials

Chanslatre may provide or support QR codes, stickers, table displays, window materials, wall displays, or other physical materials that direct users to Chanslatre-powered restaurant pages.

Restaurants are responsible for obtaining permission to place physical materials at their locations and for choosing safe and appropriate placement. QR codes and printed materials may be replaced, updated, disabled, or redirected when reasonably necessary to maintain the Service, address security issues, correct errors, or reflect account changes.

Unless expressly included in a plan or written offer, additional or replacement physical materials, shipping, special printing, custom materials, or third-party hardware may involve separate charges.

6. Analytics and Usage Data

Chanslatre may collect and process usage information relating to Chanslatre-powered menus and provide participating restaurants with analytics concerning use of their own Service. Depending on enabled features, analytics may include visits, menu language, QR source, table identifier, menu-item interactions, items added, removed, or re-added, and use of Show Server or related features.

Analytics are provided for informational and operational purposes. Measurements may be affected by device behavior, browser settings, connectivity, repeated visits, technical limitations, automated traffic, data-processing rules, or other factors. Chanslatre does not guarantee that analytics will be complete, error-free, or suitable for accounting, tax, staffing, legal compliance, or other purposes requiring independently verified records.

7. Plans, Fees, Billing, and Renewals

Current plan features, prices, setup fees, included menu updates, billing periods, physical-material charges, discounts, and other commercial terms are those presented in the applicable signup, checkout, order form, written offer, or separate agreement.

Unless otherwise stated, recurring subscriptions automatically renew for successive billing periods until canceled in accordance with the applicable cancellation process. Applicable taxes may be added where required.

Chanslatre may change prices or plan features prospectively. When required, we will provide notice before a change affects an existing recurring subscription. Promotional, founding-partner, test-partner, or other special pricing may be subject to separate written terms.

8. Setup Fees, Deposits, Test Programs, and Special Agreements

Certain services or programs may require a setup fee, activation deposit, equipment or material charge, or other upfront payment. Refundability and any conditions for return of a deposit will be governed by the applicable offer, agreement, and Chanslatre Refund & Cancellation Policy.

Founding Test Partner, Pioneer Partner, pilot, beta, promotional, or similar programs may have separate eligibility requirements, pricing, benefits, limitations, feedback expectations, or termination provisions. If a separate written agreement conflicts with these Terms regarding a specific program, the separate written agreement controls for that conflict.

9. Menu Updates and Client Requests

The number or frequency of included menu updates, if any, depends on the applicable plan or written agreement. A menu update may require reasonable processing time and may depend on the restaurant supplying complete and usable information.

Restaurants are responsible for submitting requested changes with sufficient detail and for reviewing the resulting menu. Chanslatre may request clarification before processing ambiguous, incomplete, unusually large, or technically impractical requests.

10. Third-Party Services and Hardware

The Service may depend on third-party hosting, internet service, payment providers, email systems, browsers, maps, printers, hardware, operating systems, or other products and services that Chanslatre does not fully control.

Chanslatre is not responsible for outages, changes, failures, restrictions, or security incidents caused solely by third-party systems outside Chanslatre’s reasonable control. A restaurant’s use of third-party hardware or services may also be subject to the third party’s own terms, warranties, and privacy practices.

11. Future Printing and Order-Communication Features

Chanslatre may offer or test features that communicate an order summary to restaurant staff or compatible printing hardware. Unless expressly agreed otherwise, such features are communication and workflow tools and do not replace a restaurant’s point-of-sale system or the restaurant’s responsibility to verify, accept, prepare, fulfill, and charge for an order.

Network interruptions, device failures, printer errors, power failures, software problems, duplicate transmissions, delayed transmissions, or other technical conditions may prevent, delay, duplicate, or alter a print or communication event. Restaurants must maintain reasonable procedures for confirming orders and handling technical failures.

13. Intellectual Property

Except for Restaurant Content and third-party materials, Chanslatre and its licensors retain all rights in the Service, including software, designs, databases, branding, workflows, documentation, and other proprietary materials.

No rights are granted except the limited rights necessary to use the Service in accordance with these Terms and the applicable plan or agreement.

14. Availability, Maintenance, and Changes

We may modify, maintain, update, suspend, or discontinue portions of the Service from time to time. We may also perform maintenance or take action reasonably necessary to address security, reliability, legal, or technical concerns.

Chanslatre does not guarantee uninterrupted or error-free availability. We will use reasonable efforts to operate the Service reliably but cannot guarantee that every menu page, QR code, integration, analytics event, message, or other feature will always be available.

15. Suspension and Termination

Chanslatre may suspend or restrict access when reasonably necessary because of nonpayment, suspected fraud, security risk, unlawful activity, abuse, material breach of these Terms or another agreement, or circumstances that threaten the Service or other users.

A restaurant or client may cancel or terminate services in accordance with its applicable plan, agreement, and the Refund & Cancellation Policy. Provisions that by their nature should survive termination—including payment obligations already incurred, intellectual-property provisions, disclaimers, limitations of liability, and dispute-related provisions—will survive as permitted by law.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CHANSLATRE DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

Chanslatre does not control and is not responsible for restaurant food preparation, restaurant staffing, ingredient substitutions, allergens or cross-contact, restaurant availability, restaurant pricing decisions, restaurant acceptance or fulfillment of diner selections, or transactions directly between restaurants and diners.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANSLATRE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANSLATRE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AFFECTED SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID TO CHANSLATRE FOR THE AFFECTED SERVICE DURING THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above provisions may not apply to a particular user.

18. Indemnification

To the extent permitted by law, a restaurant or business client agrees to defend, indemnify, and hold harmless Chanslatre and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from or relating to: (a) Restaurant Content supplied or approved by the client; (b) the client’s violation of law or third-party rights; (c) the client’s food preparation, ingredients, allergens, pricing, fulfillment, or restaurant operations; or (d) the client’s material breach of these Terms or an applicable agreement.

19. Privacy

Our collection and use of personal information is described in the Chanslatre Privacy Policy. By using the Service, you acknowledge that information may be processed as described there.

20. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.

21. Changes to These Terms

We may update these Terms as the Service changes or as legal, operational, or security requirements evolve. The updated version will be posted with a revised effective date. When required by law or an applicable agreement, we will provide additional notice before material changes take effect.

22. General Terms

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later. You may not transfer your account or contractual rights without Chanslatre’s consent except as permitted by law. Chanslatre may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
